TERMS OF USE

These Terms govern your access to and use of MESH. Please read them carefully, including the sections on MESH Coins, Digital Items, refunds, and limitations of liability.

1. AGREEMENT TO THESE TERMS

These Terms of Use (the “Terms”) are a legal agreement between you and MESH Studios LLC (“MESH,” “we,” “us,” or “our”) governing your access to and use of the MESH mobile application, websites, software, fantasy sports experiences, social and community features, virtual currency, digital items, promotions, and related products and services (collectively, the “Services”).

By creating an account, accessing or using the Services, or otherwise indicating your acceptance, you agree to these Terms, our Privacy Policy, any applicable Community Guidelines, promotion or challenge rules, and any other additional terms presented to you for a particular feature. If you do not agree, do not access or use the Services.

If additional terms apply to a particular promotion, challenge, brand activation, league, feature, or offer, those additional terms will control to the extent of a conflict with these Terms.

2. ABOUT MESH

MESH is primarily a free-to-play social fantasy sports and gaming platform built around squads, leagues, communities, collaborative roster management, digital identity, and social competition. The Services may allow users to form or join squads, participate in fantasy leagues, collaboratively manage rosters, communicate with other users, react to fantasy activity, and acquire or use digital cosmetic content.

MESH may also provide sponsored experiences, brand content, challenges, referrals, promotional opportunities, community initiatives, and philanthropy-related experiences. Unless separate official rules expressly provide otherwise, the standard MESH fantasy experience does not require users to pay an entry fee and does not award users cash or other real-world prizes based on fantasy performance.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

You must be at least 18 years old to create an account or use the Services. By using the Services, you represent and warrant that you meet this requirement. MESH does not knowingly permit anyone under 18 to register, and may suspend or terminate any account it reasonably believes belongs to an ineligible user. You may use the Services only if you are legally permitted to do so and your use complies with applicable law. The Services are intended for users located in the United States; MESH makes no representation that the Services are appropriate or available for use in other jurisdictions.

When creating an account, you must provide accurate and current information. MESH may request information such as your email address, telephone number, date of birth, username, first name, last initial, school or community affiliation, or other information reasonably needed to provide the Services. You are responsible for your account credentials and all activity conducted through your account.

You may not impersonate another person, create an account using materially false information, sell or transfer your account without our permission, use another person’s account without authorization, or create accounts for abusive, fraudulent, or evasive purposes.

4. SQUADS, LEAGUES, COMMUNITIES, AND SHARED CONTROL

MESH may organize users into squads, leagues, chapters, schools, alumni groups, creator communities, fan groups, or other communities. Certain users, including squad leaders, commissioners, or administrators, may receive additional permissions to manage membership, settings, roster decisions, communications, or shared Digital Items.

By joining a squad or other shared group, you understand that actions taken by authorized leaders or administrators can affect your experience. For example, a squad leader may control whether another member can equip or change a squad Digital Item. Purchasing or contributing to a squad Digital Item does not guarantee that the purchaser will have administrative permission to equip or select that item.

MESH is not responsible for disagreements among members concerning squad leadership, roster decisions, membership, permissions, strategy, or use of shared Digital Items, except to the extent required by law.

5. FANTASY SPORTS, SCORING, AND SPORTS DATA

MESH may use sports statistics, schedules, injury information, projections, scoring feeds, and other data provided by MESH or third parties. Sports data may be delayed, corrected, incomplete, unavailable, or subject to official statistical changes. MESH may correct fantasy scores, standings, results, or other errors when appropriate.

Unless separate official rules state otherwise, MESH does not guarantee any projection, statistic, score, matchup result, or other sports information will be error-free, complete, or available at all times. MESH may resolve scoring or rules questions in a reasonable manner consistent with the applicable league or feature rules.

6. MESH COINS

MESH may offer a closed-loop virtual currency referred to in these Terms as “MESH Coins” or “Coins.” Coins may be purchased in fixed or other offered amounts through Apple In-App Purchase, Google Play Billing, or another payment method permitted by the applicable platform and law. MESH may also, now or in the future, award Coins without charge through challenges, referrals, achievements, brand campaigns, promotions, customer support adjustments, or other activities.

Coins are virtual items licensed for use only within the Services. Coins are not money, stored value, cryptocurrency, securities, deposits, or property with a guaranteed cash value. Coins do not accrue interest and may not be redeemed from MESH for cash or any other real-world monetary value except where required by law.

Coins may not currently be transferred, sold, traded, gifted, or exchanged between users unless MESH expressly enables such functionality in the future. MESH may impose reasonable limits on Coin purchases, balances, uses, or promotional awards to prevent fraud, abuse, or technical problems.

Coins purchased through Apple In-App Purchase will not expire. If MESH later offers promotional or no-cost Coins subject to expiration or different conditions, those conditions will be disclosed when the Coins are awarded, subject to applicable law and platform rules.

Coins currently cannot be used as an entry fee or other consideration to enter MESH fantasy competitions.

7. DIGITAL ITEMS AND ENTITLEMENTS

The Services may offer mascots, animations, taunts, reactions, badges, cosmetics, avatars, visual effects, or other virtual content (collectively, “Digital Items”). Digital Items may be acquired using Coins or through challenges, promotions, achievements, codes, brand activations, or other methods.

Digital Items are licensed, not sold, and do not give you ownership of MESH intellectual property or any real-world asset. Unless MESH expressly provides otherwise, Digital Items cannot be redeemed for cash, sold, traded, transferred outside the Services, or used as consideration in a financial transaction.

PERSONAL DIGITAL ITEMS

A Personal Digital Item is tied to the individual account that acquired it. Subject to these Terms and continued availability of the Services, a purchased Personal Digital Item is intended to remain available to that account and does not expire merely because it is no longer offered for new purchase.

SQUAD DIGITAL ITEMS

A Squad Digital Item is acquired for and licensed to a designated squad rather than to the individual purchaser. Once acquired for a squad, the entitlement remains with that squad even if the purchaser leaves. The purchaser does not retain a separate personal entitlement to that squad item solely because the purchaser supplied the Coins used to acquire it. If the squad is deleted, dissolved, or otherwise permanently removed from the Services, the associated Squad Digital Items may cease to be available and generally will not transfer to former members or another squad.

PERMISSIONS

A squad leader or other authorized administrator may control which members may equip, select, or change Squad Digital Items. Buying a Squad Digital Item does not override squad permissions or leadership controls.

UPDATES TO DIGITAL ITEMS

MESH may update the design, rendering, animation, technical format, name, presentation, or quality of a Digital Item over time. For example, MESH may replace an existing version with an improved three-dimensional or otherwise updated version while preserving the applicable entitlement. MESH may also make reasonable modifications required for compatibility, safety, intellectual-property, legal, or platform reasons.

NO RANDOMIZED PAID ITEMS AT PRESENT

MESH does not currently offer paid randomized Digital Item mechanics. If MESH introduces randomized paid items in the future, additional disclosures, rules, or odds information may apply.

8. PURCHASES, BILLING, AND REFUNDS

Purchases made through Apple, Google, or another third-party platform are processed by that platform and are also subject to its payment, billing, and refund terms. MESH may receive transaction information needed to validate purchases and administer Coins or Digital Items, but the platform may control the underlying payment transaction and any return of funds.

If you experience a problem with a Coin or Digital Item purchase, contact MESH Support at support@meshleagues.com. MESH may review requests and work with you on a case-by-case basis. Where Apple or another platform processed the purchase, any monetary refund may need to be requested from or approved by that platform.

To the maximum extent permitted by law, use or consumption of Coins or Digital Items may affect the availability or amount of an adjustment. If a purchase is refunded, reversed, charged back, or otherwise invalidated, MESH may reasonably adjust Coin balances, Digital Item entitlements, purchasing privileges, or account status to reconcile the affected transaction and prevent abuse. MESH is not required to provide a proportional refund or credit except where required by law or expressly agreed by MESH.

You may not exploit pricing errors, duplicate delivery, refund processes, chargebacks, platform mechanics, or technical bugs to obtain Coins, Digital Items, or other benefits without valid payment or authorization.

9. BRAND-SPONSORED EXPERIENCES, CHALLENGES, AND PROMOTIONS

MESH may work with brands, sponsors, community organizations, and other partners to provide sponsored content, challenges, referral opportunities, branded Digital Items, promotional Coins, offers, rewards, or other experiences. Sponsored experiences may include additional eligibility requirements, official rules, geographic limitations, or disclosure terms.

Participation in a brand-sponsored experience does not give a user an ownership interest in sponsor funds or entitle the user to cash unless separate official rules expressly state otherwise. MESH may disqualify activity that it reasonably believes is fraudulent, automated, manipulated, abusive, or inconsistent with the applicable rules.

If a promotion or challenge has separate official rules, those rules form part of the agreement for that activity and control over these Terms to the extent of a conflict. Leagues that MESH helps facilitate are also subject to Section 10.

10. MESH-FACILITATED LEAGUES AND PHILANTHROPY EXPERIENCES

MESH may help create, organize, verify, or otherwise facilitate leagues for chapters, organizations, campus groups, brands, or other communities, including verified leagues, sponsored leagues, and philanthropy leagues (each, a “Facilitated League”). Sponsored and philanthropy leagues are operated in partnership with brands, sponsors, or community organizations under arrangements agreed between MESH and those partners.

DEFAULT LEAGUE CONDITIONS

By joining, opting in to, or participating in a Facilitated League, you automatically agree that your participation is subject to this Section 10 and to any league-specific details communicated through the Services. No separate signature or acceptance is required. The following default conditions apply to every Facilitated League unless MESH expressly states otherwise:

(a) Cutoff dates. Eligibility for a particular reward, perk, or donation outcome may require joining or participating by a specified deadline (for example, joining before a given week of the season).

(b) Ranking and reward structures. Rewards, perks, or donation outcomes may be determined by ranking, tier, placement, or other structures specific to that league.

(c) League-specific details. Specific dates, structures, eligibility requirements, and reward details for a league may be communicated through the Services, including in-app messages, league pages, notifications, or MESH representatives, and are binding on participants once communicated.

(d) Rule questions. Users may contact MESH Support at support@meshleagues.com at any time for clarification of the rules applicable to their league.

(e) MESH discretion. MESH may resolve questions regarding eligibility, rankings, deadlines, or outcomes in a reasonable manner consistent with the applicable league structure, and may disqualify activity it reasonably believes is fraudulent, automated, manipulated, or abusive.

PHILANTHROPY EXPERIENCES

MESH may facilitate philanthropy-related experiences in which a sponsor — or, in some cases, MESH itself — agrees to make a charitable donation connected to a MESH league, challenge, community, or season outcome. Unless expressly stated otherwise, the charitable contribution is made by the donating party directly to a legitimate charitable organization or through the organization’s valid donation channel; charitable funds are not held for, awarded to, or the property of any user or squad.

Any donation commitment, including the amount or formula, any maximum or cap, applicable deadlines, and recipient criteria, will be described in the communications for the applicable league or experience. Participation in a philanthropy-related experience does not require any purchase or payment, and no portion of any user purchase is represented as a charitable contribution unless expressly stated. Donations made by MESH or a sponsor do not entitle any user to a tax deduction or other tax benefit.

SPONSOR RESPONSIBILITY

Where a third-party sponsor commits to a donation or reward, the sponsor is solely responsible for fulfilling that commitment. MESH’s role is limited to facilitating the league experience and communications between sponsors, communities, and participants. To the maximum extent permitted by law, MESH is not responsible or liable for a third-party sponsor’s failure or delay in making any donation, reward, or other commitment, or for the acts or omissions of any sponsor or charitable organization. Where MESH itself commits to a donation, MESH will make the donation in accordance with the conditions communicated for that league. MESH and its sponsors will comply with applicable charitable-solicitation and commercial co-venture laws, and MESH may modify, pause, or restructure a philanthropy-related experience in a particular jurisdiction where reasonably necessary for legal or regulatory compliance.

RECIPIENT VERIFICATION

MESH may facilitate communication between the sponsor and an eligible winning squad or community so that the group can identify a qualifying charitable organization or provide a legitimate donation link. MESH may require verification of the proposed charitable recipient and may reject or request an alternative recipient if necessary for legal, tax, reputational, technical, or program requirements.

NOT GAMBLING; NO CASH PRIZE

Facilitated Leagues and philanthropy experiences do not involve wagering, betting, or gambling of any kind. Participation does not require payment of an entry fee, and a philanthropy-related outcome is not a cash prize to participating users. Participating users have no right to withdraw, redirect for personal use, or personally receive charitable funds.

11. CHAT, USER CONTENT, AND COMMUNITY CONDUCT

The Services may allow users to communicate through internal chat, usernames, league or squad names, reactions, and other user-submitted material (“User Content”). You retain any rights you may have in your User Content, subject to the license below.

You grant MESH a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transmit, display, modify as technically necessary, moderate, and otherwise use User Content as reasonably necessary to operate, improve, secure, and promote the Services, consistent with applicable law and our Privacy Policy.

You may not use the Services to post, transmit, or facilitate unlawful, threatening, harassing, hateful, sexually exploitative, infringing, fraudulent, malicious, privacy-invasive, or otherwise prohibited content. You may not use bots or automation without permission, cheat or manipulate fantasy results, scrape the Services at scale, distribute malware, interfere with security features, or attempt to gain unauthorized access.

MESH may use automated and human systems to review, filter, investigate, restrict, or remove content and may suspend or terminate accounts when reasonably necessary for safety, legal compliance, platform integrity, or enforcement of these Terms. Users may report inappropriate content or conduct through available reporting or support channels.

12. INTELLECTUAL PROPERTY

The Services and all MESH-provided software, interfaces, designs, trademarks, logos, graphics, fantasy formats, Digital Items, characters, animations, audiovisual content, compilations, and other materials are owned by or licensed to MESH and are protected by intellectual-property and other laws.

Subject to these Terms, MESH grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes. Except as expressly permitted by MESH, you may not copy, reproduce, distribute, publicly display, sell, sublicense, reverse engineer, create derivative works from, or commercially exploit the Services or MESH content.

FEEDBACK

If you submit suggestions, ideas, feedback, or recommendations about the Services, you grant MESH a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without compensation or attribution, and MESH has no obligation to keep them confidential.

COPYRIGHT COMPLAINTS (DMCA)

If you believe content on the Services infringes your copyright, send a notice to MESH’s designated agent at support@meshleagues.com with the subject line “DMCA Notice,” including: identification of the copyrighted work; identification and location of the allegedly infringing material; your contact information; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and your physical or electronic signature. MESH may remove or disable access to allegedly infringing material and may terminate the accounts of repeat infringers in appropriate circumstances.

13. THIRD-PARTY SERVICES AND SPORTS RIGHTS

The Services may contain links to, integrations with, or content from app stores, sports data providers, brands, social platforms, websites, or other third parties. MESH is not responsible for third-party services or their terms, content, availability, or privacy practices.

References to leagues, teams, athletes, schools, conferences, brands, or other third-party names and marks do not imply endorsement unless expressly stated. Third-party rights remain the property of their respective owners.

14. LOCATION AND DEVICE PERMISSIONS

Certain features may request access to device permissions such as precise or approximate location, notifications, or other device capabilities. You may decline optional permissions, although some location-aware or other features may be limited. MESH’s collection and use of personal information is described in the Privacy Policy.

15. SERVICE CHANGES, AVAILABILITY, AND BETA FEATURES

MESH may add, remove, modify, test, suspend, or discontinue features, leagues, Digital Items, Coin functionality, brand experiences, or other parts of the Services. Some features may be labeled beta, experimental, preview, or similar and may change or stop working without notice.

We do not guarantee uninterrupted availability. Maintenance, sports-data issues, third-party outages, security events, platform changes, or circumstances outside our control may affect the Services.

16. ACCOUNT SUSPENSION AND TERMINATION

You may stop using the Services at any time and may use available account-deletion functionality. MESH may restrict, suspend, or terminate access if we reasonably believe you violated these Terms, created legal or safety risk, engaged in fraud or abuse, or if suspension is reasonably necessary to protect the Services or other users.

Termination may result in loss of access to account-linked features, Coins, Personal Digital Items, communications, or other content, subject to applicable law and platform requirements. Your departure from a squad does not transfer Squad Digital Items to your personal account. Deletion of a squad may result in loss of that squad’s Digital Items as described above.

17. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MESH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

MESH DOES NOT WARRANT THAT THE SERVICES, SPORTS DATA, DIGITAL ITEMS, CHAT FEATURES, PROMOTIONS, OR THIRD-PARTY CONTENT WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECT WILL BE CORRECTED.

18. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MESH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MESH’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO MESH FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS (US $100), UNLESS APPLICABLE LAW REQUIRES OTHERWISE.

19. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless MESH and its affiliates, officers, directors, employees, agents, licensors, and partners from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your unlawful use of the Services, your User Content, your violation of these Terms, or your violation of another person’s rights.

20. GOVERNING LAW AND DISPUTES

Governing law. These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Washington and applicable federal law, without regard to conflict-of-law principles.

Informal resolution first. Before filing any claim, you agree to contact MESH at support@meshleagues.com and attempt in good faith to resolve the dispute informally for at least 30 days. Most issues can be resolved this way.

Venue. If a dispute is not resolved informally, you agree to the exclusive jurisdiction of the state and federal courts located in King County, Washington, and you waive any objection to venue in those courts.

Class action waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND MESH AGREE THAT ANY DISPUTE WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. NO COURT MAY CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING UNLESS ALL PARTIES CONSENT.

Jury trial waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND MESH EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

Time limit on claims. To the extent permitted by law, any claim arising out of or relating to these Terms or the Services must be brought within one (1) year after the claim arose, or it is permanently barred.

Severability of dispute terms. If the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) may proceed on a class or representative basis, and the remainder of this Section 20 remains in effect.

21. CHANGES TO THESE TERMS

MESH may update these Terms from time to time. If changes are material, we may provide additional notice through the Services, by email, or by another reasonable method. The effective date at the top of this page identifies the current version. Your continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by law.

22. GENERAL TERMS

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. MESH’s failure to enforce a provision is not a waiver. You may not assign these Terms without MESH’s consent; MESH may assign them in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or by operation of law.

These Terms, together with the Privacy Policy and any incorporated additional terms, constitute the entire agreement between you and MESH regarding the Services, except as otherwise expressly agreed in writing.

Text messaging. If you opt in to receive text messages from MESH, you consent to receive recurring messages at the number provided; consent is not a condition of using the Services. Message and data rates may apply. Reply STOP to cancel or HELP for help. Message frequency varies.

App store terms. Your use of the mobile application is also subject to the applicable app store’s terms. The following applies to the version of the application obtained from the Apple App Store: these Terms are between you and MESH only, not with Apple Inc. (“Apple”), and Apple is not responsible for the application or its content. Apple has no obligation to furnish maintenance or support services for the application. In the event of any failure of the application to conform to an applicable warranty, you may notify Apple, and Apple will refund any purchase price paid for the application; to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing any claims by you or a third party relating to the application, including product-liability claims, claims that the application fails to conform to legal or regulatory requirements, consumer-protection claims, and intellectual-property claims. You represent that you are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Google LLC is not a party to these Terms and has no obligation to provide support or maintenance for the application.
