These Terms of Service apply to the MESH Studios LLC website and mobile application, as well as the fantasy league platform featured thereon (the "Platform"), including both private leagues and public leagues (collectively, the "Services"). By using the Services, you agree to be bound by these Terms of Service.
By using the Services, you understand and agree that these Terms of Service are a legally binding agreement between you and MESH Studios LLC that is the legal equivalent of a written contract signed by both parties.
Your agreement is confirmed by clicking "I Agree," "Accept," or similar entry fields, as well as by your continued use of the Services. If you do not agree to these Terms of Service, please discontinue all use of the Services and delete your account.
Grant. MESH Studios LLC grants you a non-exclusive and non-transferable personal license to access and use the Services in the manner described in these Terms of Service and subject to payment of applicable fees. All rights not expressly granted are reserved to MESH Studios LLC.
Prohibition on Transfer. Any attempts to transfer the license to another party without express written consent from MESH Studios LLC will be invalid and void.
You agree to comply with the following restrictions:
Through your use of the Services, you may submit texts, posts, comments, images, messages, video, audio, or other content (collectively, "User Generated Content"). MESH Studios LLC does not own your User Generated Content, but you grant MESH Studios LLC a non-exclusive, sublicensable, irrevocable, worldwide, transferable, and royalty-free license to host, use, distribute, modify, run, copy, publicly perform, display, publish, translate, and create derivative works of your content.
You are solely responsible for your User Generated Content and agree not to post content that is malicious, libelous, false, inaccurate, abusive, threatening, obscene, defamatory, or otherwise objectionable.
As part of gameplay, certain data will be generated and associated with your account, including Voting Insights, game results, game statistics, and player statistics. You agree to permit MESH Studios LLC to use this data in connection with its marketing and advertising efforts.
If you participate in a public league, MESH Studios LLC may make certain game data available for public viewing, including Voting Insights, team names, profile photos, usernames, game results, and statistics.
Your use of the Services is also governed by our Privacy Policy, which is incorporated herein in its entirety. By using the Services, you consent to the data practices described in the Privacy Policy, including the collection, sharing, and sale of location data, interest data, and other personal information as described therein.
In exchange for participation in a public league, you will pay to MESH Studios LLC the fee indicated on the Services. MESH Studios LLC reserves the right to charge recurring fees and to change fees at any time. If you fail to pay required fees, access to the Services will be denied or terminated.
Your carrier's data rates may apply to your use of the Services. MESH Studios LLC has no obligation to pay your carrier charges.
There are no refunds or cancellations for purchases made through the Services. You will retain access to paid areas of the Services until the end of the period you have paid for.
These Terms of Service are effective as of your first use of the Services and continue in perpetuity until termination. MESH Studios LLC may update these Terms of Service at any time in its sole discretion. Changes become effective when posted. Your continued use constitutes acceptance of the updated Terms.
You may terminate this Agreement at any time by deleting your account. MESH Studios LLC may terminate this Agreement at any time in its sole discretion. Sections 4, 6, 11, 13, 14, and 15 survive termination.
When you upload or create content on the Services, we may transmit that data to remote servers. You expressly consent to storage of your content on our servers or third-party servers and transmission of content between the Services and servers. Not all communications or transmissions are encrypted. Submitting content through the Services is solely at your own risk.
The Services may contain links to third-party websites or applications. MESH Studios LLC does not control such third parties and makes no representations concerning the content, accuracy, or security of those sites. Your use of third-party websites is solely at your own risk.
The Services are owned by MESH Studios LLC or its affiliates. All content, software, trademarks, service marks, trade names, logos, and icons are proprietary property of MESH Studios LLC or used with permission. Nothing in these Terms of Service grants any license to use MESH Studios LLC's intellectual property without written permission.
If you believe your work has been copied in a way that constitutes copyright infringement, please provide notice to support@meshleagues.com including: a signature of the authorized person, description of the infringed work, location of the infringing material, your contact information, a good faith statement, and a statement made under penalty of perjury that the information is accurate.
YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED BY MESH STUDIOS LLC ON AN "AS IS" BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES. MESH STUDIOS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT MESH STUDIOS LLC WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF USE, DATA OR OTHER INTANGIBLE LOSSES, RESULTING FROM THE USE OR INABILITY TO USE THE SERVICES.
In no event will MESH Studios LLC be liable to you for any amount greater than the fees you have paid to MESH Studios LLC.
You agree to indemnify and hold MESH Studios LLC and its affiliates, agents, employees, owners, directors, managers, and licensors harmless from any claim, demand, loss, costs, or expense, including attorneys' fees, arising out of your violation of these Terms of Service, your use of the Services, or any other person's rights.
We make no representation that the Services are appropriate or available for use outside the United States. Your attempt to access or use the Services from outside the U.S. is solely at your own risk and you are responsible for compliance with local laws and regulations.
Applicable Law and Jurisdiction: These Terms of Service are governed by the laws of the United States and the State of Washington. You agree to submit to the exclusive jurisdiction of state and federal courts located within King County, Washington.
Severability: If any provision is adjudged unenforceable, it will be limited to the minimum extent necessary and the remaining Terms will remain in full force.
Waiver: The failure of MESH Studios LLC to exercise any right or provision will not operate as a waiver. Any waiver must be in writing and signed by an authorized representative.
Entire Agreement: These Terms of Service constitute the entire agreement between you and MESH Studios LLC regarding your use of the Services.
